“Client”
Any individual, company, or organisation who makes a payment towards a web design service to the contractor upon receiving an invoice.
“Contractor”
“CONCEPTCUBES LIMITED”; trading as “PRO WEB DESIGNS”; of UNIT 132 OMEGA WORKS, 4 ROACH ROAD, E3 2GY, LONDON.
1. Authorisation & assignment
The contractor agrees to provide the Client with Search Engine Optimization and Reporting Services (hereinafter referred to as “SEO”) as described in this agreement. The contractor is authorised to use the specific keywords and/or phases set forth below for development, improving the ranking of, and/or positioning the contents of the Client’s website URL in Google search engine.
2. Deliverables
The contractor agrees to the following:
1) Competitive research and analysis on Keywords.
2) Publishing blogs (number depending on SEO plan) each month for the duration of the agreement.
3) Periodic performance reports (weekly/monthly).
4) Editing and/or optimization of text for various HTML tags, META data, blog titles as necessary.
5) Linking relative internal links, navigation, code, etc. for best SEO purposes.
6) Submit blogs including sitemaps to the major search engines and directories.
7) Content creation and sharing in social media (Facebook, Instagram, Twitter).
8) Monthly competitor Keyword ranking reporting.
9) Monthly competitor monitoring. (*applicable on Deluxe & Premium Plans)

3. Client acknowledgement
The client acknowledges and agrees to the following:
• All fees must be paid per the schedule of payments and fees are non-refundable.
• All fees, services, documents, recommendations, and reports are confidential.
• The contractor has no control over the policies of search engines concerning the type of sites and/or content that they accept now or in the future. The Client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.
• Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, Contractor does not guarantee #1 positions or consistent top 3/5/10 positions for any particular keyword, phrase, or search term. Google has
been known to hinder the rankings of new websites (or pages) until they have proven their viability to exist for more than 3-6 months. This is referred to as the “Google Sandbox”. The contractor assumes no liability for ranking/traffic/indexing issues related to Google Sandbox penalties.
• Occasionally, search engines will drop listings for no apparent or predictable reason. Often, the listing will reappear without any additional SEO. Should a listing be dropped during the SEO campaign and does not reappear within 30 days of campaign completion, the Contractor will re-optimize the website/page/post/blog based on the current policies of the search engine in question.
• Linking to “bad neighbourhoods” or getting links from “link farms” can seriously damage all SEO efforts. The contractor does not assume liability for the Client’s choice to link to or obtain a link from any particular website without prior consultation.
• No such access to back-end, FTP or other control systems related or unrelated to the page, website, blog, SEO platform is provisioned or available at any time unless otherwise stated.
• The client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to Contractor for inclusion on the website above are owned by Client, or that Client has received permission from the rightful owner(s) to use each of the elements and will hold harmless, protect, and defend Contractor and its subcontractors from any liability or suit arising from the use of such elements.
• The client acknowledges the contractor will do the needful to organically rank keywords (number as per plan) per quarter and maintain after the initial sandboxing period of 3 months for a new domain. Please save this is for keywords with a search volume of 1M under Google search engine, including any geographic map ranking.
4. Schedule of payments
The total monthly fee for the Contractor to be provided for the duration of the agreement is as invoiced. All fees must be paid under the schedule of payments by direct debit from the second month. Please save the first payment that must be paid directly to the contractor’s account upon executing this agreement. The client agrees to make a payment of each Calendar month from the first invoice date.
5. Duration of agreement
The initial duration of this agreement is 12 (Twelve) months from the date of signing, the agreement automatically will roll over unless a cancellation request is made by the client within 30 days before expiry.
6. Legal
Any disputes arising from this contract will be litigated or arbitrated in England. This Agreement shall be governed per the laws of England. The undersigned hereby agree to the terms, conditions and stipulations of this agreement on behalf of his or her organization or business. This Agreement constitutes the entire understanding of the parties. Any changes or modifications thereto must be in writing and signed by both parties.
