1. Authorization & assignment

I (hereinafter referred to as “Client”) am engaging “Contractor” (Conceptcubes Limted , T/A PRO WEB DESIGNS)  for the specific purpose of designing a World Wide Web site, herein after referred to as "Web Design Project. The “Client” hereby authorises “Contractor “with "full access" to the “Client’s” domain registrar’s account for the purpose of configuring domain propagation to “contractor’s allocated server (if the client has a domain already), and any other programs needed for this Web Design Project that are included as part of the “Client’s service agreement/level. The “Client” also authorises “Contractor “to submit the completed Web Design Project to major Web Search Engines. “Contractor “reserves the right to assign subcontractors to this Web Design Project.

This Web Design Project will be developed using GPU license and would include the followings as part of the deliverable.

2. Development & Deliverable

3. Copyrights and Trademarks.

The “Client” unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to “Contractor “for inclusion in the Web Design Project are owned by the “Client”, or that the “Client” has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend “CLIENT” and “Contractor “and its subcontractors from any liability (including solicitor’s fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the “Client”.

4. Web Site Maintenance. 

The “Client” has not subscribed to any maintenance support services unless otherwise specified. Any future content changes, updates or other functionalities would be subject to a minimum 1 hour at £55 per hour or 55 /page basis.

5. Completion Date.

It is anticipated that the “Website Project” would be completed within (subject to providing contents) within 1-6 weeks from accepting this agreement and content brief from client. Both parties understand and agrees a general 7 working days can be allowed as a standard flexibility and it is also assumed in situation beyond the control of the “Contractor” such as natural disaster, internet service failure, government or political failure, satellite failure etc., the “contractor” cannot be held responsible for such delays.

6. Project Delivery.

The “Client” agrees to provide “Contractor “full access to the “Client’s account for domain registrar account.  Including details of log in in order to perform the work. “Client” also agrees that during handover or migration from his existing site including testing the website can be temporarily inaccessible. 

7. Electronic Commerce Laws.

The “Client” agrees that the “Client” is solely responsible for complying with any laws, taxes, and tariffs applicable in any way to the Web Design Project or any other services contemplated herein, and will hold harmless, protect, and defend “CLIENT” and “Contractor” and its subcontractors from any claim, suit, penalty, tax, fine, penalty, or tariff arising from the “Client’s exercise of Internet electronic commerce and/or any failure to comply with any such laws, taxes, and tariffs.

8. Web Design Project Copyright.

The “Client” will be assigned rights to use the Web Design Project as a web site, once final payment under this agreement and any additional charges incurred have been paid. “Contractor “and its subcontractors retain the right to display graphics and other Web Design elements as examples of their work in their respective portfolios. All Web Design Projects will contain a copyright/legal statement with a link to contractor’s Design Services Web Site.

9. Payment Schedule & others.

The “Client” agree to the final order amount as the total payment owed to the “Contractor”, client also agree and understand after 1 year the hosting fee of £150/annum must be paid. As part of the monthly package each payment of £49 must be paid for 12 months including the 1st payment. If the client do not pay the payment he/she may lose the website and all of its contents. A reconnection fee of £50 will be charged to the client if any fees are not paid within 30 days. If the fees are not paid at all within 60 days of invoice. The Client will all of the website feature and contents without having any liability to the contractor. The cost of hosting may change in the future without further notice. 

Please save if the “Client” is not satisfied on the deliverable upon completion the project as described under section 2. Development & Deliverable the “Contractor” will issue a full refund to the client.

10. Legal Notice.

Notwithstanding anything to the contrary contained in this contract, neither “Contractor” nor any of its employees or agents, warrants that the functions contained in the Web Design Project will be uninterrupted or error-free since the backbone of the application relies on third party plugins and scripts. In no event “Contractor” will  be liable to the “Client” or any third party for any damages, including, but not limited to, service interruptions caused by the Hosting Service or any other circumstances beyond our reasonable control, any lost profits, lost savings or other incidental, consequential, punitive, or special damages arising out of the operation of or inability to operate this Web Design Project, failure of any service provider, of any telecommunications carrier, of the Internet backbone, of any Internet servers, your or your site visitor's computer or Internet software. No such access to back-end, FTP or other control system related or unrelated to the page, website, blog, seo platform is available to client at any time unless otherwise stated (please save only applicable to brochure type websites) . The package service doesn’t include any option to move the website away from the contractor’s hosting in the future or such service to migrate without paying any fees. 

11. This Agreement.

This agreement constitutes the agreement between “Contractor” and the “Client” regarding this Web Design Project. Any additional work not specified in this contract or any other amendment or modification to this contract must be authorized by a written request signed by both “Client” and “Contractor”. This agreement is governed under the laws of England & Wales. The undersigned hereby agree to the terms, conditions and stipulations of this agreement on behalf of his or her organization or business. This Agreement constitutes the entire understanding of the parties. Any changes or modifications thereto must be in writing and signed by both parties. If any of the payments are unpaid the “Contractor” reserve the right to withdraw their services which may result in the website being offline.

The “Client” hereby authorises “Contractor “with "full access" to the “Client’s” domain registrar’s account for configuring domain propagation to “contractor’s allocated server, upon sign up (if the client has obtained a domain already), and any other programs needed for this Web Design Project that are included as part of the “Client’s service agreement/level. The “Client” also authorises “Contractor “to submit the completed Web Design Project to major Web Search Engines, create admin account to manage Google Map listing page and request to create on behalf of “Client” (Save, subject to specific subscription plans), if applicable . “Contractor “reserves the right to assign subcontractors to this Web Design Project.

This Web Design Project will be developed using GPU license and would include the followings as part of the deliverable.

The “Client” has not subscribed to any maintenance support services unless otherwise specified. Any amendment to the existing content as of publishing the website, will be covered by the plan, as per the subscription plan and would need to requested using the ticket system that the user would be required to register upon signing up. For the avoidance of doubt, “Free content update/s” referred within any deal page would be applicable to existing content changes, such as change of existing phone number, existing text or images. No additional content, pages etc are part of this subscription, unless paid for. Any such future additional pages, content or other functionalities would be subject to a minimum 1 hour at £55 per hour or 55 / page basis, this need to be requested via ticketing system assigned to the “client”.

The Client will loose all of the website feature and contents without having any liability to the contractor. The cost of hosting may change in the future without further notice. This agreement can be terminated by either party by giving a month’s notice upon expiry of 24 month’s period. Upon termination of this agreement the “Client” will not have any access to the “Website Project” or any of the features attached to the order or subscription. If any of the payments are unpaid the “Contractor” reserves the right to withdraw their services which may result in the website being offline including possible loss of any contents.

The “Contractor” may update general terms and conditions for services and facilities it offers for its subscribers, time to time without obligation to notify the “Contractor”.

This agreement constitutes the agreement between “Contractor” and the “Client” regarding this Web Design Project. Any additional work not specified in this contract or any other amendment or modification to this contract must be requested by the “Client” using online ticketing system and this must be authorised by a written request signed by both “Client” and “Contractor” and any additional cost must be paid. This agreement is governed under the laws of England & Wales. The undersigned hereby agree to the terms, conditions and stipulations of this agreement on behalf of his or her organization or business. This Agreement constitutes the entire understanding of the parties. Any changes or modifications thereto must be in writing and signed by both parties.
